- You are fully responsible for your water quality, product safety, deliveries, and compliance
- VOLIMY provides the technology platform and tools — you run your own business
- VOLIMY may provide branding, CRM access, and support — this does not create any ownership or liability
- You agree to indemnify VOLIMY from any claims, penalties, or losses arising from your operations
- VOLIMY can suspend or terminate your account for violations of this agreement
- This agreement is accepted digitally when you complete vendor registration — no physical signature required
1. Introduction
This Supplier & Vendor Agreement ("Agreement") is entered into between White Eudicots Private Limited, a company registered in India, operating the VOLIMY platform ("VOLIMY", "we", "our", "us"), and the water supplier, RO water agency, jar distributor, packaged drinking water provider, or water tanker operator ("Supplier", "Vendor", "you") registering on the VOLIMY platform.
This Agreement governs the terms under which Suppliers access and use the VOLIMY technology platform to manage their water supply business, receive customer orders, and interact with customers.
By completing the vendor registration process on VOLIMY and clicking "I Agree", you confirm that you have read, understood, and accepted all terms of this Agreement.
This Agreement should be read alongside VOLIMY's Terms & Conditions, Privacy Policy, and Refund & Cancellation Policy.
2. Parties to This Agreement

Supplier: The individual or business entity completing vendor registration on the VOLIMY platform, as identified by the mobile number, business name, and details provided during registration.
3. Supplier Declaration
By registering on VOLIMY as a Supplier, you declare and confirm that:
- All information submitted during registration and thereafter is accurate, complete, and current
- Your business is legally authorised to operate as a water supplier, distributor, or related business under applicable Indian laws
- All required licences, registrations, and regulatory approvals for your water supply business are valid and current — including FSSAI licence where applicable
- All products supplied through the VOLIMY platform comply with applicable Indian laws, food safety standards, and water quality regulations
- You will promptly notify VOLIMY of any material change to your business, registration status, or regulatory compliance
Providing false or misleading information during registration or at any time thereafter is grounds for immediate account termination under Section 12.
4. Independent Contractor Status
The Supplier acknowledges and agrees that:
- VOLIMY is not the employer of the Supplier or any of the Supplier's staff, delivery personnel, or agents
- No partnership of any kind exists between VOLIMY and the Supplier
- No franchise relationship exists between VOLIMY and the Supplier
- No agency relationship exists — the Supplier does not have authority to represent, bind, or make commitments on behalf of VOLIMY
- No joint venture exists between VOLIMY and the Supplier
The Supplier operates as a fully independent business entity. The Supplier is solely responsible for all employment, tax, and regulatory obligations relating to their own business, staff, and operations.
VOLIMY's provision of technology tools, branding support, or operational guidance does not alter the independent contractor nature of this relationship.
5. Product Responsibility
The Supplier shall be solely and exclusively responsible for:
- Water quality — ensuring all water products meet applicable purity and safety standards
- Product safety — ensuring products are safe for human consumption
- Product storage — maintaining appropriate storage conditions to preserve product quality
- Product transportation — ensuring safe and hygienic transportation of all water products
- Packaging standards — ensuring packaging complies with applicable regulations and is free from contamination
- Regulatory approvals — maintaining all required product certifications, FSSAI registrations, BIS certifications (where applicable), and other regulatory approvals
VOLIMY shall have no responsibility, liability, or obligation regarding the quality, safety, purity, or regulatory compliance of any water product listed or supplied through the platform.
Any customer complaint, regulatory action, health claim, or legal proceeding arising from product quality or safety is the sole responsibility of the Supplier.
6. Delivery Responsibility
The Supplier shall be solely responsible for all delivery operations, including:
- Delivery execution — ensuring timely and accurate fulfilment of all accepted orders
- Delivery personnel — hiring, training, managing, and paying delivery boys and staff
- Vehicle maintenance — maintaining delivery vehicles in safe and roadworthy condition
- Route planning — organising efficient delivery routes for their service area
- Customer interaction — ensuring professional and respectful interaction between delivery staff and customers
- Empty container collection — managing the collection of returnable jars and containers
VOLIMY's delivery management tools assist in organising and tracking delivery operations but do not make VOLIMY responsible for delivery execution or outcomes.
7. Compliance Responsibility
The Supplier agrees to comply with all applicable laws, regulations, and standards governing their water supply business, including but not limited to:
- FSSAI requirements — obtaining and maintaining valid FSSAI licence where required for packaged or processed water
- BIS standards — complying with Bureau of Indian Standards requirements for packaged drinking water (IS 14543) where applicable
- Local authority regulations — obtaining required municipal permissions, trade licences, and local body approvals
- Environmental regulations — complying with applicable environmental standards for water processing and waste disposal
- Consumer Protection Act 2019 — complying with consumer rights and redressal obligations
- GST compliance — maintaining valid GST registration where required and issuing compliant tax invoices
- Labour laws — complying with applicable employment and labour regulations for their staff and delivery personnel
The Supplier is solely responsible for monitoring changes in applicable laws and ensuring ongoing compliance. VOLIMY does not provide legal or regulatory advice.
8. Platform Access & Usage
8.1 Platform Licence
VOLIMY grants the Supplier a limited, non-exclusive, non-transferable licence to access and use the VOLIMY platform solely for the purpose of managing their water supply business operations.
8.2 Acceptable Use
The Supplier agrees to use the VOLIMY platform only for lawful purposes and in accordance with this Agreement. The Supplier must not:
- Use the platform to conduct fraudulent transactions or misrepresent products
- Upload false, misleading, or defamatory content about customers or other suppliers
- Attempt to reverse engineer, copy, or replicate the VOLIMY platform or its technology
- Use the platform to contact customers for purposes unrelated to water supply fulfilment
- Share platform access credentials with unauthorised third parties
- Use the platform in any way that violates applicable Indian laws
8.3 Platform Availability
VOLIMY will make reasonable efforts to maintain platform availability. However, VOLIMY does not guarantee uninterrupted access and shall not be liable for temporary outages, maintenance, or technical issues beyond its reasonable control.
8.4 Platform Changes
VOLIMY reserves the right to modify, update, or discontinue platform features at any time. Where material changes affect Supplier operations, VOLIMY will provide reasonable advance notice.
9. Branding & Support Programme
VOLIMY may, at its discretion, provide Suppliers with:
- Vehicle branding — VOLIMY-branded stickers, wraps, or materials for delivery vehicles
- Marketing materials — promotional collateral, digital assets, or customer-facing materials
- CRM software access — VOLIMY's vendor dashboard and mobile app for delivery management
- Operational training — guidance on using the VOLIMY platform effectively
- Business support — assistance with onboarding, setup, and operational queries
The Supplier acknowledges that:
- Acceptance of any branding, support, or tools from VOLIMY does not create any ownership, partnership, franchise, employment, or agency relationship
- VOLIMY branding on vehicles or materials does not make VOLIMY liable for the Supplier's operations, products, or deliveries
- Branding materials remain the property of VOLIMY and must be returned or removed upon account termination
- VOLIMY may withdraw branding or support at any time without liability
10. Data & Confidentiality
10.1 Supplier Business Data
All customer records, delivery data, billing information, and business data entered by the Supplier into the VOLIMY platform remains the property of the Supplier.
VOLIMY uses this data solely to provide the platform service. VOLIMY will not use Supplier business data for its own commercial purposes or share it with third parties except as required by law or as described in the Privacy Policy.
10.2 Customer Data
Customer personal data — including names, mobile numbers, addresses, and order history — accessed through the VOLIMY platform must be used by the Supplier only for the purpose of fulfilling orders placed through VOLIMY.
The Supplier must not:
- Use customer data for unsolicited marketing or communication
- Share customer data with third parties outside the scope of order fulfilment
- Retain customer data beyond what is necessary for business operations
10.3 Platform Confidentiality
The Supplier agrees to keep confidential all non-public information about the VOLIMY platform, technology, pricing structures, and business operations that may come to their knowledge through platform access.
11. Indemnification
The Supplier agrees to indemnify, defend, and hold harmless White Eudicots Private Limited, its directors, officers, employees, and agents from and against any and all:
- Consumer complaints, claims, or legal proceedings arising from the Supplier's products or services
- Regulatory penalties, fines, or enforcement actions arising from the Supplier's non-compliance
- Product liability claims — including health-related claims arising from water quality or safety
- Claims arising from delivery failures, accidents, or misconduct by the Supplier's staff
- Damages, losses, or legal costs arising from the Supplier's breach of this Agreement
- Third-party claims arising from the Supplier's business operations
This indemnification obligation survives the termination of this Agreement.
12. Suspension & Termination
12.1 Termination by VOLIMY
VOLIMY may suspend or permanently terminate a Supplier's account, with or without prior notice, for:
- Poor and consistent service quality leading to customer complaints
- Fraudulent practices, misrepresentation, or identity fraud
- Repeated or serious customer complaints regarding product quality or delivery
- Violation of applicable Indian laws or regulatory requirements
- Breach of any provision of this Agreement
- Providing false information during registration or thereafter
- Any activity that VOLIMY reasonably believes may harm customers, the platform, or VOLIMY's reputation
12.2 Termination by Supplier
The Supplier may terminate this Agreement at any time by:
- Closing their account through the VOLIMY platform settings
- Providing written notice to info@volimy.com
12.3 Effect of Termination
Upon termination:
- The Supplier's access to the VOLIMY platform ceases immediately
- All VOLIMY branding materials must be removed from vehicles and premises within 7 days
- Any outstanding customer obligations must be fulfilled or appropriately communicated to affected customers
- The Supplier's data will be retained and deleted as per VOLIMY's Privacy Policy
- Indemnification obligations under Section 11 survive termination
13. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- VOLIMY's total liability to any Supplier under this Agreement shall not exceed the value of platform subscription fees paid by that Supplier in the 3 months preceding the claim
- VOLIMY shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- VOLIMY shall not be liable for loss of business, revenue, customers, or reputation arising from platform use or unavailability
- VOLIMY does not warrant that the platform will be error-free, uninterrupted, or meet all Supplier requirements
14. Amendments
VOLIMY reserves the right to modify this Agreement at any time.
When material changes are made:
- Suppliers will be notified via the VOLIMY app or registered mobile number
- The "Last Updated" date on this page will be revised
- Continued use of the platform after notification constitutes acceptance of the revised Agreement
If a Supplier does not agree with any revised terms, they must discontinue use of the platform and notify VOLIMY at info@volimy.com.
15. Governing Law & Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India, including the:
- Information Technology Act, 2000
- Indian Contract Act, 1872
- Consumer Protection Act, 2019
- Digital Personal Data Protection Act, 2023
Any dispute, claim, or controversy arising from this Agreement shall be subject to the exclusive jurisdiction of courts located in Jaipur, Rajasthan, India.
Before initiating legal proceedings, parties agree to attempt resolution through VOLIMY's grievance process — contact info@volimy.com with subject line "Supplier Dispute."
16. Digital Acceptance
This Agreement is accepted digitally and electronically when the Supplier:
- Completes the vendor registration process on the VOLIMY platform
- Checks the confirmation box: "I have read and agree to the Supplier & Vendor Agreement"
- Clicks "Complete Registration" or equivalent confirmation
Digital acceptance is legally valid under the Information Technology Act, 2000 (Section 10A) which recognises the validity of contracts formed electronically. No physical signature is required.
A record of your acceptance — including timestamp and registered mobile number — is maintained by VOLIMY as evidence of agreement.
